COINS Act and 1260H investment and defense policy risk

Policy and communications preparation for investors, biotech companies, and defense supply chains facing COINS outbound-investment questions or section 1260H concerns. We separate investment rules, list status, procurement clauses, and lobbying restrictions, then build a dated evidence and issue matrix. Counsel determines each rule’s applicability, prohibitions, notification duties, and engagement boundaries.

Current policy status

As of November 3, 2026, Treasury’s October 22 COINS implementation update is a proposed rule (NPRM). Proposed biotechnology coverage must not be described as an already effective blanket ban. Check current 31 CFR Part 850 separately from the proposal and any later final rule. Section 1260H list status, procurement provisions, and restrictions on certain lobbying relationships are separate legal mechanisms.

Decision-ready outputs

Current-versus-proposed rule tracker

Record the official source, publication date, operative or proposed status, covered activity, relevant effective or comment milestones, and open issues. A headline is not treated as a transaction prohibition.

Investment and ownership matrix

Organize U.S.-person nexus, transaction type, target activities, ownership, technology, and funding flows. Counsel assesses scope, exceptions, prohibitions, and notification questions separately from CFIUS analysis of inbound U.S. investment.

1260H and engagement gate

Verify the current official list and exact entity identity, then record applicable contract clauses and restrictions affecting lobbying relationships. No restricted contact or representation is undertaken before qualified counsel clears the client and proposed activity.

First 72 hours

0–24 hours

Confirm the entity, business objective, deadline, actual request, and current counsel. Agree a safe channel before sharing sensitive records.

24–48 hours

Verify the official provision, identity, operative-versus-proposed status, and supporting facts. Mark legal, technical, or scientific questions for the appropriate specialist.

48–72 hours

Prepare the issue matrix, evidence index, first stakeholder Q&A, and an approval-gated plan. This is a preparation milestone, not an agency response or decision deadline.

Questions before engagement

Are all proposed biotech restrictions already effective?

No. Treasury’s October 22, 2026 update is proposed. Current Part 850 requirements, the proposal, and any later final rule and effective dates must be distinguished.

Is 1260H the same as the OFAC SDN List?

No. Authorities and consequences differ. Verify the exact entity and the provisions governing the transaction, contract, or activity.

Can you lobby for every listed company?

No blanket commitment is possible. Certain lobbying relationships may be restricted. U.S. counsel must assess client identity, applicable restrictions, and the proposed activity first.

What starts the review?

Parties, ownership, U.S. nexus, technology or business category, contract or customer concern, deadline, and current counsel. Start with a non-sensitive summary.

Official sources

Start with a short mandate summary

Describe your entity, objective, deadline, and current advisers. Do not include patient data, export-controlled material, or detailed trade secrets in an initial inquiry.
