CFIUS review and National Security Agreement readiness

CFIUS communications and evidence coordination for transaction teams preparing for review or a possible National Security Agreement. We organize ownership, governance, technology, data-access, and stakeholder facts around counsel’s strategy. Qualified counsel leads jurisdictional analysis, filings, legal negotiations, and interpretations of mitigation obligations; SIC Group supports the operating and communications record.

Current policy status

CFIUS reviews certain foreign investments and real-estate transactions for national security effects. A potential National Security Agreement is a transaction-specific mitigation instrument, not a standard approval product. Counsel first assesses jurisdiction, filing obligations, timing, and the actual risk concerns; public affairs cannot substitute for the review process.

Decision-ready outputs

Transaction and control record

Index ownership, beneficial owners, funding, governance and veto rights, technology, sites, customers, sensitive data, and access permissions. Every material fact has a document and date; a percentage alone does not resolve the legal analysis of control or rights.

Mitigation operating matrix

Using counsel’s agreement or issue list, identify obligations, implementation owners, evidence, third-party roles, reporting cycles, and escalation paths. A remedy used in another transaction is not assumed to satisfy this transaction’s requirements.

Stakeholder and incident plan

Prepare separate board, workforce, bank, customer, and partner Q&A. External statements remain consistent with confidentiality requirements, the filing record, and counsel approval. A procedural milestone is never described as clearance.

First 72 hours

0–24 hours

Confirm the entity, business objective, deadline, actual request, and current counsel. Agree a safe channel before sharing sensitive records.

24–48 hours

Verify the official provision, identity, operative-versus-proposed status, and supporting facts. Mark legal, technical, or scientific questions for the appropriate specialist.

48–72 hours

Prepare the issue matrix, evidence index, first stakeholder Q&A, and an approval-gated plan. This is a preparation milestone, not an agency response or decision deadline.

Questions before engagement

Can you guarantee CFIUS clearance?

No. Review authorities make independent decisions. A prepared record, negotiation milestone, and formal decision are separate states.

Does every transaction require an NSA?

No. The need for mitigation, agreement terms, and continuing obligations depend on the transaction and the review process.

Do you replace transaction counsel?

No. Counsel handles legal advice, filings, and legal negotiations. We support evidence coordination and approved stakeholder communications.

What starts the review?

A transaction outline, parties and ownership, U.S. business, technology or data categories, deadline, and current advisers. Sensitive materials follow channel and conflict checks.
